These Terms replace and supersede all prior versions.
These Terms of Service (the 'Terms') govern your access to and use of the VoiceTyper website, applications, and services (collectively, the 'Services'). These Terms are a legally binding agreement between Eridis Inc. ('Eridis', 'VoiceTyper', 'we', 'us', 'our') and you, or the organization you represent ('you').
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and 'you' refers to that organization.
1. Eligibility and account security
1.1 Eligibility. You must be the age of majority in your jurisdiction and capable of forming a binding contract.
1.2 Account information. If you create or use an account to access the Services (an 'Account'), you agree to provide accurate information and keep it current.
1.3 Account security. You are responsible for all activity under your Account and for maintaining the confidentiality of your usernames, passwords, and other access credentials (collectively, 'Credentials'). You must notify us promptly of any actual or suspected unauthorized access or use.
2. The Services
2.1 Service operation. We may update, change, suspend, or discontinue the Services (or any part of them) at any time.
2.2 No reliance. You should not rely on the continued availability of any feature or functionality.
3. Privacy and data handling
3.1 Privacy Policy. Our Privacy Policy is incorporated by reference and explains how we process personal data, including the distinction between Dictation Data and Operational Data.
3.2 Dictation and Output. When you use the Services for dictation, you may submit dictated audio and receive transcription output (together, 'Dictation Data'). The results returned by the Services from your inputs (including transcripts and other generated content) are 'Output'. Dictation Data is processed to deliver the requested dictation/transcription transaction and is not retained by VoiceTyper (no server-side transcript history and no backups). You are responsible for retaining any Output you wish to keep in your own systems or environment.
3.3 Operational Data. Limited technical, usage, and business-operation data required to operate the Services (and that does not include Dictation Data) is 'Operational Data' and may include 'Service Data' such as limited technical and usage information. Operational Data is processed as described in the Privacy Policy, including by our service providers.
3.4 Support communications. If you include dictation content or sensitive information in support messages or other non-dictation channels, you authorize us to process that content to address your request, and you are responsible for ensuring you have the right to provide it.
4. Confidentiality
4.1 Confidential Information. 'Confidential Information' means non-public information disclosed by one party to the other that is marked confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes non-public business, technical, and security information about the Services, and non-public information about you and your use of the Services.
4.2 Protection and use restrictions. Each party will (a) protect the other party's Confidential Information using at least reasonable care, and (b) use the other party's Confidential Information only to exercise its rights and perform its obligations under these Terms.
4.3 Permitted disclosures. A party may disclose the other party's Confidential Information to its employees, contractors, affiliates (meaning an entity that controls, is controlled by, or is under common control with a party), and professional advisers who need to know it for the purposes of these Terms, provided they are bound by confidentiality obligations no less protective than those in this Section 4.
4.4 Compelled disclosure. If a party is required by law or a valid legal process to disclose the other party's Confidential Information, it will (to the extent permitted by law) promptly notify the other party and reasonably cooperate with efforts to limit the scope of disclosure. For clarity, VoiceTyper does not retain Dictation Data in its systems; accordingly, compelled disclosure typically relates to Operational Data or other non-dictation records.
4.5 Exclusions. Confidential Information does not include information that the receiving party can demonstrate (a) is or becomes public through no fault of the receiving party, (b) was lawfully known to the receiving party without confidentiality restrictions before receipt, (c) is lawfully received from a third party without confidentiality restrictions, or (d) was independently developed without use of the disclosing party's Confidential Information.
5. Data protection security and subprocessors
5.1 Scope and roles. This Section applies to the extent VoiceTyper processes Personal Data on your behalf in connection with providing the Services (for example, Dictation Data submitted by your authorized users, and any Personal Data you submit through non-dictation channels for support purposes). 'Personal Data' has the meaning given under applicable data protection law. Operational Data is processed as described in the Privacy Policy.
5.2 Processing on your instructions. VoiceTyper will process Personal Data covered by Section 5.1 only as necessary to provide the Services and in accordance with these Terms and the Privacy Policy, unless required otherwise by applicable law.
5.3 Security measures. VoiceTyper will implement and maintain appropriate technical and organisational measures designed to protect Personal Data covered by Section 5.1 against unauthorized or unlawful processing and against accidental loss, destruction, alteration, or disclosure. These measures are designed taking into account the nature of the processing, the risks presented, and the state of the art and cost of implementation.
5.4 Personnel confidentiality. VoiceTyper will ensure that personnel authorized to process Personal Data covered by Section 5.1 are subject to appropriate confidentiality obligations.
5.5 Subprocessors. VoiceTyper may engage third parties to process Personal Data on your behalf in connection with the Services (each, a 'Subprocessor').
(a) Authorization. You provide a general authorization for VoiceTyper to use Subprocessors to provide the Services.
(b) Flow-down. VoiceTyper will impose written obligations on Subprocessors that are no less protective than the obligations in this Section 5 for the processing they perform, and VoiceTyper remains responsible for the performance of its Subprocessors under this Section 5.
(c) List. VoiceTyper will make available, on request, a list of Subprocessors used to process Personal Data covered by Section 5.1.
(d) Subprocessor changes. Where VoiceTyper intends to add or replace a Subprocessor for Personal Data covered by Section 5.1, VoiceTyper will inform you of the intended change in a reasonable manner (such as by email to an account contact on file, or by a notice within the Services) and provide a reasonable opportunity to object on reasonable data protection or security grounds. If you object and VoiceTyper cannot reasonably provide the affected Services without the Subprocessor, you may terminate the affected Services by written notice, and your remedy is limited to that termination.
5.6 Assistance with data subject requests. Taking into account the nature of the Services and the information available to VoiceTyper, VoiceTyper will provide reasonable assistance to help you respond to applicable requests from data subjects, but only to the extent such requests relate to Personal Data in VoiceTyper's possession or control. For clarity, VoiceTyper does not retain Dictation Data in its systems as described in Section 3.2.
5.7 Security incidents. A 'Security Incident' means a confirmed incident resulting in accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to Personal Data covered by Section 5.1. VoiceTyper will notify you without undue delay after becoming aware of a Security Incident. Notice will be provided in a reasonable manner (such as by email to an account contact on file and/or by a notice within the Services). VoiceTyper will provide reasonable information about the Security Incident as it becomes available and reasonably cooperate with your investigation and mitigation efforts.
5.8 Compliance information audits and inspections. VoiceTyper will maintain appropriate records and information relating to its processing of Personal Data covered by Section 5.1 and, on request by you, make available such records and information as is reasonably necessary to demonstrate VoiceTyper's compliance with this Section 5. VoiceTyper will otherwise permit, and contribute to, audits and inspections carried out by you (or your authorized representative) relating to Personal Data covered by Section 5.1, subject to reasonable limitations to protect security and confidentiality and to avoid undue disruption.
5.9 Transfers and safeguards. Operational Data, and any other non-dictation Personal Data processed through our business operations (for example, billing administration metadata and support communications), may be transferred internationally as described in the Privacy Policy. Where such a transfer is a restricted transfer under applicable data protection law, VoiceTyper will implement appropriate safeguards consistent with that law. Dictation Data processing locations (including any UK-specific handling, if applicable) are described in the Privacy Policy.
6. Plans fees and billing
6.1 Paid plans. If you purchase a paid plan, you agree to pay the fees presented at checkout or otherwise agreed in writing.
6.2 Automatic renewal. If a plan is offered on an automatically renewing basis, it will renew as described at the time of purchase (including renewal period and price, subject to Section 21 regarding pricing increases) unless you cancel renewal using the method we provide.
6.3 Cancellation. You may cancel renewal through your Account settings or another method we provide. Cancellation stops future renewals; it does not retroactively refund fees already paid, except where required by law or expressly stated by VoiceTyper in writing.
6.4 Payment processing. Payments are processed by a third-party payment processor. VoiceTyper does not store full payment card details.
6.5 Nonpayment. If payment fails or is not received when due, we may suspend or terminate access to paid features.
6.6 Taxes. Fees exclude applicable taxes unless stated otherwise. You are responsible for applicable taxes, duties, or similar governmental assessments, except for taxes on VoiceTyper's net income.
7. License and ownership
7.1 License to you. Subject to these Terms, VoiceTyper grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal purposes.
7.2 VoiceTyper rights. The Services, including all software, technology, interfaces, design, and trademarks, are owned by VoiceTyper or its licensors and are protected by applicable law. Except for the limited license above, no rights are granted to you.
7.3 Your Content and Output. Any information or materials you submit to the Services are 'Content'. As between you and VoiceTyper, you retain your rights in your Content and Output. You are responsible for ensuring you have all rights necessary to submit Content and use the Services.
8. Acceptable use and restrictions
8.1 Restrictions. You must not, and must not attempt to:
(a) use the Services in violation of law or third-party rights;
(b) access the Services by any means other than the interfaces we provide or authorize;
(c) interfere with, disrupt, or attempt to disable the Services (including by introducing malware);
(d) probe, scan, or test the vulnerability of the Services or bypass security or access controls;
(e) reverse engineer, decompile, disassemble, or otherwise attempt to discover source code, data representations, underlying algorithms, or non-public aspects of the Services;
(f) copy, modify, distribute, sell, resell, sublicense, rent, lease, time-share, or make available the Services to any third party except as expressly permitted by VoiceTyper in writing;
(g) scrape, extract, harvest, or collect Operational Data, Service Data, telemetry, or other non-public usage signals from the Services;
(h) use the Services to develop, train, or improve a competing product or service, including by collecting non-public performance or usage signals for that purpose;
(i) perform high-volume or automated testing that interferes with the Services, security controls, or other users; or
(j) if you publicly disclose benchmark or performance test results about the Services, you agree that we may perform and publicly disclose the results of benchmark tests of your products or services, irrespective of any restrictions on benchmarks in the terms governing your products or services.
8.2 Permitted recordkeeping. You may store, organize, and use your own Output (including transcripts) for legitimate internal purposes, recordkeeping, compliance, and documentation, provided you comply with these Terms and applicable law.
8.3 Enforcement. We may investigate suspected violations and may suspend or terminate access as described in Section 11.
9. Feedback
If you provide suggestions, feedback, or ideas about the Services ('Feedback'), you grant VoiceTyper a worldwide, perpetual, irrevocably, royalty-free license to use and exploit the Feedback for any purpose, without restriction or compensation.
For clarity, this Feedback license does not apply to Dictation Data or your Personal Data unless you intentionally include it as part of Feedback for the purpose of providing that Feedback (for example, you paste content into a support message and ask us to evaluate it).
10. Third-party services and links
The Services may integrate with or link to products or services not provided by VoiceTyper ('Third-Party Services'). VoiceTyper does not control Third-Party Services and is not responsible for them. Your use of Third-Party Services is governed by their terms and policies.
11. Suspension and termination
11.1 Suspension or termination by VoiceTyper. We may suspend or terminate your access to the Services immediately if we believe you breached these Terms, if we must do so to comply with law, or to protect the Services, users, or third parties.
11.2 Termination by you. You may stop using the Services at any time. If you have an Account, you may request account closure in the manner we provide.
11.3 Effect of termination. Upon termination, your license to use the Services ends. Sections that by their nature should survive will survive, including Sections 4, 5, 7, 8, 9, 13, 14, 15, 17, 18, 19, 20, 21, and 22.
12. Support and service levels
VoiceTyper provides support through the channels we make available from time to time. VoiceTyper may offer service level terms for certain customers or use cases. If we agree to service level terms with you, they will be set out in a separate written agreement signed by an authorized VoiceTyper officer and will apply only to the covered Services.
13. Disclaimers
13.1 As-is. The Services are provided 'as is' and 'as available'. To the maximum extent permitted by law, VoiceTyper disclaims all warranties and conditions, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, and non-infringement.
13.2 Output accuracy. Output may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing Output before relying on or using it.
13.3 No professional advice. The Services are not a substitute for professional judgment. You are responsible for compliance with obligations applicable to your use (including clinical, legal, or regulatory obligations, if any).
14. Limitation of liability
14.1 Exclusion of certain damages. To the maximum extent permitted by law, VoiceTyper will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, or data, even if advised of the possibility.
14.2 Liability cap. To the maximum extent permitted by law, VoiceTyper's total liability arising out of or relating to the Services or these Terms will not exceed the amounts you have paid to VoiceTyper for the Services in the twelve (12) months immediately preceding the event giving rise to the claim.
14.3 Limits required by law. Nothing in these Terms excludes or limits liability to the extent it cannot be excluded or limited under applicable law. The exclusions and cap in this Section 14 do not apply to liability resulting from fraud or fraudulent misrepresentation, or willful misconduct (and, where not legally excludable, gross negligence).
15. Indemnification
15.1 By VoiceTyper. In this Section 15.1, 'Paid Services' means Services provided under a paid plan.
VoiceTyper will defend you against any third party claim brought against you, to the extent that such claim is based on an allegation that a Paid Service, when used as authorized under these Terms, infringes a United States, United Kingdom, or European patent or a copyright (a 'Claim'), and we will indemnify you against any damages and costs (including reasonable legal fees) finally awarded by a court of competent jurisdiction attributable to such a Claim or agreed to in a settlement approved by VoiceTyper.
Your rights under this Section 15.1 are conditioned on you: (a) promptly notifying VoiceTyper in writing of the Claim; (b) giving VoiceTyper sole control of the defense and settlement of the Claim; and (c) providing reasonable cooperation, at VoiceTyper's expense, in the defense of the Claim.
If any portion of a Paid Service becomes, or in VoiceTyper's opinion is likely to become, the subject of an infringement claim, VoiceTyper may, at VoiceTyper's option: (a) procure the right for you to continue using the Paid Service; (b) replace the Paid Service with non-infringing services which do not materially impair the functionality of the Paid Service; (c) modify the Paid Service so that it becomes non-infringing; or (d) terminate the Paid Service and refund any pre-paid subscription fees covering the remainder of the Subscription Term, and upon such termination, you will immediately cease all use of the Paid Service.
VoiceTyper will have no obligation under this Section 15.1 or otherwise with respect to any infringement claim based upon: (w) any use of a Paid Service not in accordance with these Terms or the applicable documentation; (y) any use of a Paid Service in combination with third party products or services not supplied by VoiceTyper; or (z) any modification of a Paid Service by any person other than VoiceTyper or its authorized agents.
This subsection states VoiceTyper's sole and exclusive obligations, and your sole and exclusive remedies, with respect to Claims of infringement of third party intellectual property rights.
This Section 15.1 applies only to Paid Services.
15.2 By you. You agree that you will be responsible for your use of the Services, and you agree to defend, indemnify, and hold harmless VoiceTyper and its officers, directors, employees, contractors, affiliates, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with: (i) any Dictation Data, Content, or other materials you or your users submit, transmit, or make available in connection with the Services, including any claim that such materials infringe or violate the rights (including intellectual property rights) of a third party; (ii) your violation of these Terms or any representation, warranty, or agreements referenced herein, or any applicable law or regulation; or (iii) your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (and without limiting your indemnification obligations with respect to such matter), and in such case, you agree to cooperate with our defense of such claim.
16. Export controls and sanctions
You may not use, export, re-export, or transfer the Services except as authorized by applicable laws and regulations. You represent that you are not located in, and are not a national or resident of, any jurisdiction where use would be prohibited, and you are not on any restricted party list.
17. Business transfers
If VoiceTyper is involved in a merger, acquisition, reorganization, or sale of assets, information (including Operational Data) may be transferred as part of that transaction, subject to applicable law and the Privacy Policy.
18. Assignment
You may not assign or transfer these Terms without VoiceTyper's prior written consent. VoiceTyper may assign these Terms in connection with a business transfer or otherwise.
19. Dispute resolution and class action waiver
19.1 Informal resolution first. Before filing a claim, you agree to notify VoiceTyper of the dispute and provide a reasonable opportunity to respond and attempt resolution.
19.2 Small claims. Either party may bring an individual action in small claims court if the claim qualifies.
19.3 Class action waiver. You will not seek to have any dispute heard as a class action, private attorney general action, or in any other proceeding in which either party acts or proposes to act in a representative capacity. Any dispute will be conducted solely on an individual basis and will not be combined with another proceeding without the prior written consent of all parties to all affected proceedings.
20. Governing law and exclusive jurisdiction
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of laws principles. You irrevocably attorn to the exclusive jurisdiction of the courts located in Edmonton, Alberta, Canada for any such dispute, except to the extent applicable law requires otherwise (including mandatory consumer protection laws).
21. Changes to Terms
Except that you must be informed in a reasonable manner regarding any pricing increase, VoiceTyper may, in its sole discretion, change these Terms at any time. Other terms and conditions are only valid when signed in writing by an authorized VoiceTyper officer.
22. Miscellaneous
22.1 Compliance with law. Each party will comply with applicable laws in connection with its performance under these Terms.
22.2 Relationship of the parties. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
22.3 Force majeure. Neither party will be liable for delay or failure to perform due to causes beyond its reasonable control (excluding payment obligations), provided it uses reasonable efforts to mitigate the impact.
22.4 Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in effect, and the invalid provision will be enforced to the maximum extent permitted by law consistent with the parties' intent.
22.5 Entire agreement. These Terms, together with the Privacy Policy and any order form or other written agreement signed by an authorized VoiceTyper officer that expressly references these Terms, constitute the entire agreement between you and VoiceTyper regarding the Services and supersede all prior or contemporaneous agreements and communications relating to the Services.
22.6 No waiver. A failure to enforce any provision is not a waiver.
22.7 Headings. Headings are for convenience only and do not affect interpretation.
